LIMITED ACCESS AGREEMENT

By accessing this website and/or any part of it, you expressly agree to be bound by the following terms and conditions:

ACCESS TO THE CONTENT. You are being granted a free, limited, personal, non-transferable and non-exclusive license to access content located on the www.worshipteam.com website (the "Content"). Your access is entirely voluntary and you may choose not to access the Content and/or the www.worshipteam.com website, in your sole discretion.

USE OF THE CONTENT. You may access and use the Content for the limited purposes of testing its functioning, or as otherwise agreed. In doing so, you shall not do any of the following: A. Copy, transmit, retransmit, perform, display, store or distribute the Content, or any part of it;

B. Decompile or reverse engineer the Content, or any other protected aspect of the www.worshipteam.com website;

C. Violate any applicable federal, state, or local law;

D. Post, save and/or store any information on www.worshipteam.com (except as permitted);

E. Modify, change, alter, amend or delete the Content and/or any other materials located on www.worshipteam.com; or

F. Enable, permit and/or facilitate, directly or indirectly, any other party to gain access to the Content, or any part of it.

LICENSED SONG MATERIALS

Licensed song content (Compositions) in WorshipTeam.com website and apps must follow all the limitations and stipulations listed in the above USE OF THE CONTENT section in addition to the adhering to the following important restrictions.

A. Any derivatives which user causes to be made of the Compositions shall be made at user's expense and shall be created only as the result of a "Work Made for Hire" as such term is used in the United States Copyright Act, and user hereby assigns to the respective copyright owner all rights in such derivative. However, such derivatives

(i) may not change the basic melody or fundamental character or the lyrics either by change, addition to or deletion of text of the Composition,

(ii) shall not be subject to protection under the United States Copyright Act of 1976, as amended (the "Act") by user as a derivative work.”

WE EXPRESSLY RESERVE THE RIGHT TO TERMINATE AND DENY ACCESS TO THE CONTENT IN THE EVENT YOU MISUSE AND/OR ABUSE ACCESS TO THE CONTENT, OR ARE IN VIOLATION OF THESE TERMS AND CONDITIONS.

CLIENT IDENTIFIER. We may assign you a unique identifier and password (the "Client Identifier”), which may be used by you to access and use the Content, as provided for herein. Any unauthorized access and/or use of the Client identifier in violation of these terms and conditions shall be grounds for automatic termination and any other appropriate relief.

TERM AND TERMINATION. The terms of your access to the Content runs during the Test Phase. We may terminate your access at any time; provided, however, your access to the Content automatically terminates at the end of our Test Phase

CONFIDENTIALITY/TRADE SECRET. You shall not disclose the nature, contents, form, format, characteristics, functionality, and/or any other aspect of the Content and/or any non-public portion of www.worshipteam.com, to any third party without our prior written consent. All of the foregoing, including, but not limited to, scope, exclusions, inclusions, functionality, characteristics, code, structure and all other non-public aspects, constitute trade secrets.

DISCLAIMER. THE CONTENT IS PROVIDED AS-IS, WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND TITLE/NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE CONTENT WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE WWW.WORSHIPTEAM.COM WEBSITE, AND/OR THE CONTENT WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE CONTENT WILL BE CORRECTED. WE DO NOT WARRANT OR MAKE ANY REPRESENTATION REGARDING THE USE OR THE RESULTS OF THE USE OF THE CONTENT OR RELATED INFORMATION IN TERMS OF THEIR CORRECTNESS, ACCURACY, QUALITY, RELIABILITY, APPROPRIATENESS FOR A PARTICULAR TASK OR APPLICATION, OR OTHERWISE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY US OR OUR AUTHORIZED REPRESENTATIVES SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. YOU ARE ENTIRELY RESPONSIBLE FOR AND ASSUME ALL RISK FOR USE OF THE WWW.WORSHIPTEAM.COM WEBSITE, AND/OR THE CONTENT. YOU SHOULD NOT USE THE CONTENT IN HIGH-RISK ACTIVITIES WHERE SUBSTANTIAL DAMAGE COULD RESULT IF AN ERROR OCCURRED. WE DO NOT WARRANT OR REPRESENT THAT ITS SECURITY PROCEDURES WILL PREVENT THE LOSS OF OR IMPROPER ACCESS TO ITS DATA. LIMITATION OF LIABILITY. IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES, INCLUDING, BUT NOT LIMITED TO, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, INDIRECT, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LOSS OF GOODWILL OR BUSINESS REPUTATION, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF BUSINESS INFORMATION) ARISING OUT OF OR CONNECTED IN ANY WAY WITH THE WWW.WORSHIPTEAM.COM WEBSITE AND/OR THE CONTENT, OR FOR ANY CLAIM BY ANY THIRD PARTY (INCLUDING FOR INTELLECTUAL PROPERTY INFRINGEMENT), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT, OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

INDEMNITY. You shall at all times indemnify and hold us harmless from and against any and all claims, damages, losses, costs, liabilities and expenses, including attorney fees, arising out of or caused by a breach by you of any representation, warranty or agreement made by you, and/or any use or reliance on the Content and/or any other property owned by us, and/or any claim, demand, action, or other loss incurred by or threatened and/or prosecuted against us for your conduct, services and/or products.

ASSIGNMENT. You shall not assign any of your rights and/or delegate any of your obligations hereunder. Any purported assignment and/or delegation by you shall be null and void.
